Terms of Service

1. Who we are

The services at app.newzchain.com are provided by Newzchain, Inc., a Delaware C Corporation (“Newzchain,” “we,” “us”).

2. Accounts

You may need an account to purchase or access certain services. You are responsible for the accuracy of your account information and for keeping your credentials secure. You must be at least 18 and authorized to act for any organization you represent.

3. Our services

Newzchain offers three kinds of service:

• PR & media services. One-time purchases made through Stripe Checkout. You receive the deliverables described for the tier you purchase. You warrant that the information you submit is accurate and that you hold the rights to any logos, quotes, or materials you provide. Newzchain retains final editorial judgment over published wording, and published pieces are marked as sponsored or partner content where applicable — as a media platform, this editorial-disclosure practice is a condition of the service.
• Intelligence reports. Free gated downloads and, in future, paid reports. Reports are licensed to you for internal business use only, and may not be redistributed or resold.
• Retainers & market-entry research. Scoped and invoiced separately under a written proposal or statement of work. These Terms, together with that proposal or statement of work, form our agreement. Retainers renew on the cycle stated in your proposal until cancelled per its terms.

4. Fees and payment

Prices are as shown at purchase or in your proposal, and charged through Stripe. Payment is processed by our third-party payment provider; we do not store your full card details. Unless stated otherwise, fees are due before work begins. Scoped engagements (reports, retainers) begin only after payment or an agreed deposit is received.

5. Editorial independence & no guarantee of outcomes

Purchasing a service does not guarantee any particular editorial outcome, placement, or opinion beyond the deliverable described — for example, media pickup, investor interest, valuation, or revenue. We retain editorial control over published content and may decline to publish material that conflicts with our editorial standards; where we decline before delivery, we will refund the corresponding fee (see Refunds).

6. Refunds

Our refund policy is set out at our Refund Policy and forms part of these Terms.

7. Client materials and license

You are responsible for the accuracy and legality of materials you provide for coverage or engagements, and you confirm you have the rights to provide them. You grant us the license needed to produce and publish the agreed deliverables. Except for content you provide, all Newzchain reports, data, and materials remain our intellectual property; paid reports are licensed to you for your internal business use and may not be redistributed or resold without our written permission.

8. Confidentiality

For market-entry and corporate intelligence engagements, each party agrees to protect the other’s confidential information and use it only for the engagement, as further described in the applicable proposal or statement of work.

9. Disclaimer

Our reports and intelligence are prepared with care from sources we consider reliable, but are provided for informational purposes and do not constitute investment, legal, or financial advice. Services are provided “as is” to the fullest extent permitted by law, without implied warranties. You are responsible for your own business and investment decisions.

10. Limitation of liability

To the maximum extent permitted by law, Newzchain’s total liability arising out of or relating to a service is limited to the fees you paid for that service. We are not liable for indirect, incidental, or consequential damages, or for loss of profits, data, or goodwill.

11. Indemnification

You agree to indemnify and hold Newzchain harmless from claims arising out of materials you provide, your use of our deliverables in breach of these Terms, or your violation of any third-party right or applicable law.

12. Changes and termination

We may update these Terms; material changes take effect when posted with a revised date. We may suspend or terminate access for non-payment or breach. Provisions that by their nature should survive termination (including payment, IP, confidentiality, disclaimers, and liability) will survive.

13. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. Disputes will be resolved exclusively in New Castle County, Delaware, and you consent to the jurisdiction of those courts.
